1. Introduction
1.1 These Terms and Conditions govern the services provided by Webwise (“we”, “us”, or “our”) to the client (“you” or “your”). By using our services, you agree to comply with and be bound by these Terms and Conditions.
1.2 These Terms apply to all services, including website design and development, digital marketing, hosting, SEO, social media management, and pay-monthly plans.

2. Services Provided
2.1 Webwise provides website design, hosting, digital marketing, SEO, content creation, and other related services.
2.2 Service details, pricing, and payment terms are outlined in our proposals, invoices, or subscription agreements.
2.3 We make reasonable efforts to deliver high-quality services, but we do not guarantee specific results (e.g., search engine rankings or marketing conversions).
3. Pay-Monthly Website Plans
3.1 Contract Term & Payments
3.1.1 Pay-monthly website plans require a 12-month minimum contract, after which the service continues on a rolling monthly basis.
3.1.2 Payments are due in advance each month via direct debit, Stripe, or another agreed payment method.
3.1.3 Failure to make payment may result in service suspension (see Section 3.4).
3.2 Ownership & Licensing
3.2.1 The website remains the property of Webwise until all payments for the 12-month term have been completed.
3.2.2 If you cancel before the initial 12-month period ends, you must pay the remaining balance in full.
3.2.3 Premium plugins and software licences included in your plan remain active only while you are subscribed. If you leave our service, you must purchase your own licences.
3.3 Cancellation & Termination
3.3.1 No cancellations are permitted during the first 12 months.
3.3.2 After the 12-month period, cancellations require 30 days’ notice in writing.
3.3.3 Upon cancellation, your website will be deactivated immediately unless you request a transfer of the website to your own hosting. Additional fees may apply for migration.
3.4 Late & Failed Payments
3.4.1 If payment is not received by the due date, the following process applies:
- 7 days overdue – Your website may be suspended until payment is made.
- 30 days overdue – Your website may be permanently removed, and data may be lost.
- A reactivation fee may apply if the website is suspended or removed due to non-payment.
4. Refund Policy
4.1 No refunds are provided for pay-monthly website plans or digital marketing services, except where required by law.
4.2 If a service is cancelled before completion due to a client request, a refund will not be provided for any work already carried out.
4.3 If a technical issue caused by Webwise results in extended downtime (exceeding 72 hours), we may offer a partial credit at our discretion.
4.4 Domain name registrations, third-party software licences, and premium plugins are non-refundable.
5. Client Responsibilities
5.1 You must provide timely access to required materials, including images, content, branding guidelines, and login credentials, as needed for the project.
5.2 You must ensure that any content you provide does not infringe copyright, intellectual property rights, or applicable laws.
5.3 You are responsible for compliance with GDPR and other data protection laws regarding the collection of customer data via your website.
5.4 If you delay providing requested information for more than 30 days, we reserve the right to suspend work and charge a restart fee.
6. Hosting & Domain Services
6.1 Hosting is included in pay-monthly plans but may be separately charged for bespoke services.
6.2 We are not responsible for any downtime caused by third-party hosting providers, server failures, or unforeseen technical issues.
6.3 If you cancel your service, you must arrange alternative hosting, or we can assist with migration at an additional cost.
7. Website Maintenance & Support
7.1 Our pay-monthly plans include basic website maintenance, security updates, and minor content updates.
7.2 Requests for additional development, design changes, or major content updates may incur extra charges.
7.3 We aim to resolve support requests within 48 hours, but response times may vary depending on the complexity of the issue.
8. SEO & Digital Marketing Services
8.1 SEO and marketing services are provided on a best-effort basis, and we do not guarantee specific search rankings or traffic levels.
8.2 You are responsible for providing accurate information, including business details, images, and approvals for content.
8.3 Delays in approval or content provision may impact campaign effectiveness.
9. Liability & Disclaimers
9.1 Webwise shall not be liable for any loss of business, revenue, or data resulting from website downtime, third-party service failures, or cyber-attacks.
9.2 We are not responsible for legal compliance related to your website content, GDPR requirements, or third-party integrations unless explicitly stated in our agreement.
9.3 Our total liability under any contract shall not exceed the amount paid by you in the previous 3 months for the relevant service.
10. Data Protection & GDPR Compliance
10.1 Webwise complies with UK GDPR regulations.
10.2 You are responsible for ensuring that your website and marketing activities comply with data protection laws, including cookie policies and user consent for email marketing.
10.3 Any data we process on your behalf (e.g., website analytics, marketing data) will be handled in accordance with our Privacy Policy
11. Intellectual Property
11.1 All custom website designs, graphics, and marketing materials created by Webwise remain our intellectual property until full payment is received.
11.2 If your service includes licensed software, you are granted a non-exclusive licence to use it while subscribed.
11.3 You may not copy, resell, or distribute our work without prior written consent.
12. Force Majeure
12.1 We shall not be liable for delays or failures due to events beyond our control, including natural disasters, power failures, cyber-attacks, or third-party service disruptions.
13. Governing Law & Disputes
13.1 These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
13.2 Any disputes shall first be attempted to be resolved amicably. If unresolved, disputes will be subject to the jurisdiction of the courts of England and Wales.
